You should read and agree to abide by this agreement before you use Kingsoft seller service (hereinafter referred to as "this service"). This agreement includes the body and annexes of the agreement, the consumer protection service agreement and all relevant rules of Goldenfirs (see the definition terms for details)

This agreement is a split and revised version of the Goldenfirs platform service agreement. Since the date of publication of this agreement, the relevant contents of the sellers of Goldenfirs platform in the "Goldenfirs platform service agreement" referred to throughout Kingsoft international network refer to this agreement

The key words listed in front of the terms of service are only used to help you understand the main purpose of the terms, and do not affect or limit the meaning or interpretation of the terms of this agreement. In order to protect your own rights and interests, it is recommended that you carefully read the specific statements of each clause

If you disagree with any content of this agreement or cannot accurately understand the meaning and interpretation of the terms, please immediately stop the process of creating a store or stop the business activities of the store.

1、 Definition

Goldenfirs network: refers to the e-commerce platform website (the website is www.goldenfirs.com or the URL of the computer or mobile device Internet modified by Kingsoft international from time to time according to business needs) and the client (such as mobile app) that Goldenfirs provides Internet information services and related software and technical support.

Seller: refers to the legal entity that operates goods or services on Jinsha international network, which can also be referred to as "you" in this agreement

Consumer: refers to any natural person or organization that purchases goods or services on Kingsoft international network and uses the purchased goods or services for consumption, also known as "buyer"

The seller service providers of Jinsha international network include Guangzhou Jinsha International Technology Co., Ltd., which can be individually or collectively referred to as "Jinsha international" in this agreement

Seller service: refers to the Internet information services and related software services provided by Goldenfirs to the seller on Goldenfirs network, among which the Internet information services are provided by Guangzhou Goldenfirs Technology Co., Ltd. The services under this Agreement are provided and terminated at the same time, and the seller cannot order or use them separately.

Rules: refer to all rules, implementation rules, interpretations, product process descriptions, announcements, etc. that have been published and subsequently published in the rule channels, forums, help centers and other sections of Goldenfirs network

Same user: if the actual controller of multiple accounts is the same person using the same identity authentication information or verified by Goldenfirs, they are all regarded as the same user

2、 Scope and effectiveness of the agreement

2.1 [agreement scope] The content of this agreement includes the body and annexes of the agreement, the consumer protection service agreement and all relevant rules that have been issued or subsequently issued by Goldenfirs and notified to you according to law. The relevant rules of Kingsoft international network are an integral part of this Agreement and have the same legal effect as the text of this agreement. If you use the seller service of Goldenfirs network, it is deemed that you agree to all contents of this agreement. Unless otherwise stated or signed, any service scope or software function enhancement of Goldenfirs network based on the purpose of improving the experience of consumers and sellers, platform service upgrading, etc. shall be bound by this agreement.

2.2 [agreement validity] when you click online to sign this agreement, it means that you have fully read, understood and accepted all the contents of this agreement, and this agreement will be legally binding between you and Goldenfirs. If you disagree with any content of this agreement, or cannot accurately understand the meaning of the terms or the interpretation of the terms by Goldenfirs, you should immediately end the process of creating a store or stop the business activities of the store.

This agreement is a supplementary agreement to the Jinsha international platform service agreement. The contents not agreed in this Agreement shall be subject to the Jinsha international platform service agreement; In case of any inconsistency between this Agreement and Goldenfirs platform service agreement, this Agreement shall prevail

3、 Seller services and specifications

3.1 account use and information submission 3.1.1 [account use] in the process of using the seller's service, you must use the account of Jinsha international platform to log in to Jinsha international network, and you should keep the account and password information properly by yourself. Because your account is associated with your personal information and business information of Jinsha international network, your account is only for your own use. Without the consent of Goldenfirs, your direct or indirect authorization to a third party to use your Goldenfirs account or obtain information under your account is invalid. Except for the fault of Goldenfirs, you should be responsible for the results of all actions under your account (such as signing agreements online, publishing and disclosing information, etc.). Actions completed through your account are deemed to be your own actions or have been fully authorized by you. If Jinsha international judges that the use of your account may endanger the security of your account and / or the information security of Jinsha international platform according to the default determination procedures and standards agreed in the rules of Jinsha international network, Jinsha international may refuse to provide corresponding services or terminate this agreement 3.1.2 [information submission] if you want to use the services under this agreement, you must submit relevant information and supporting documents in accordance with relevant laws and regulations, relevant rules of Jinsha international network, page prompts and other requirements. You understand and agree that you have the obligation to ensure that the information and data you provide are true, legal, accurate and effective, and must be updated in time in case of any change. Based on relevant laws and regulations, platform management and other requirements, you agree that Goldenfirs can conduct random inspection of the information and supporting documents you submit from time to time and require you to submit more information or supporting documents for the above purpose. You understand and acknowledge that Goldenfirs only reviews the seller's information, supporting documents, store creation, category release authority and other applications at the general level of public awareness. Unless otherwise stipulated by law, Goldenfirs will not be liable for the losses caused by the seller's reliance on the review results.

3.2 store management 3.2.1 [store creation] by creating a store on Goldenfirs, you can publish new or second-hand goods and / or service information and conclude transactions with other users. Based on the management needs of Goldenfirs network, you understand and recognize that the same user can only open one store on Goldenfirs network, and Goldenfirs can close other stores you open at the same time on Goldenfirs network, unless otherwise specified in the relevant rules of Goldenfirs network. 3.2.2 [change of store business entity] due to the inseparability of the store and the account, the change of the store business entity is essentially the transfer of the store operator's account. The relevant requirements and restrictions of the change of the store business entity are applicable to the service agreement of Jinsha international platform

3.2 account transfer terms, that is, because the store is associated with the business information of you and Goldenfirs network and may involve the interests of consumers, you can change the business entity of the store only if there are written provisions of the law, judicial decisions or with the consent of Goldenfirs and in line with the conditions and procedures for the change of the business entity of the store specified in the rules of Goldenfirs network. Once the business entity of your store is successfully changed, the rights and obligations under your account will be transferred together. In addition, your store / account shall not be transferred in any way, otherwise Goldenfirs may terminate providing services to this account and have the right to investigate your liability for breach of contract, and you shall bear the responsibilities and consequences arising therefrom. 3.2.3 [store closure] if you temporarily shut down your store by taking all goods off the shelf, you should continue to bear the transaction guarantee responsibilities for the transactions reached before the closure of your store, such as delivery, return and replacement, warranty maintenance, rights protection complaint handling, etc. If there are no goods on sale in your store for a certain period of time, Goldenfirs can also shut down your store according to the rules of Goldenfirs. According to the above agreement, closing the store will not affect your accumulated credit.

3.3 sales and promotion of goods and / or services 3.3.1 [release of goods and / or service information] through the services provided by Kingsoft international, you have the right to publish goods and / or service information, solicit and identify trading partners and conclude transactions on Goldenfirs online in the form of text, pictures, videos, audio, etc. You declare and guarantee that you have corresponding and legal rights to the information you publish, that the information you publish and the behavior you perform comply with relevant laws and regulations, national mandatory standards and the provisions of this agreement, and that you have management obligations to the store, and that the information in your store that violates relevant national laws and regulations and the provisions of this agreement should be deleted immediately, otherwise, Goldenfirs may delete or block the information you publish according to law or this agreement. 3.3.2 [prohibited information] you should ensure that the information you publish does not contain the following: (1) Violating the prohibitive provisions of national laws and regulations; (2) Political propaganda, feudal superstition, obscenity, pornography, gambling, violence, terror or abetting crime; (3) Fraudulent, false, inaccurate or misleading; (4) Infringing on others' intellectual property rights or involving third-party trade secrets and other proprietary rights; (5) Insulting, slandering, intimidating, involving the privacy of others, and other violations of the legitimate rights and interests of others; (6) There are viruses, Trojans, crawlers and other malicious software and program codes that may damage, tamper with, delete, affect the normal operation of any system of Jinsha international network, or unauthorized secret access to the data and personal data of Jinsha international network and other users; (7) Other activities that violate social public interests or public morality or are not suitable for publishing on Goldenfirs according to relevant agreements and rules. 3.3.3 [scope of prohibited sales] you should ensure that you have corresponding rights to the goods and / or services you publish on Goldenfirs online. You must not sell the following goods and / or provide the following services on Goldenfirs Online: (1) Prohibited or restricted by the state; (2) Infringing upon others' intellectual property rights or other legitimate rights and interests; (3) It has been clearly stated in the rules, announcements, notices or separate agreements signed between each platform and you that it is not suitable to sell and / or provide on Jinsha international network. Based on the relevant characteristics of the Internet, you understand and know that the goods you publish on Goldenfirs online may be browsed and purchased by consumers in different countries and regions around the world. If you do not clearly indicate that the sales are only for Chinese Mainland, Goldenfirs will not intervene in the possible cross-border sales. In this case, you must carefully pay attention to the relevant laws and tax regulations of the relevant countries and regions, and ensure that you have the legal rights and qualifications to sell, and will not infringe the intellectual property rights or other legitimate rights and interests of others. 3.3.4 [display, marketing and promotion] Jinsha international will display the goods and / or services you sell through Jinsha international network, and provide users with functions such as information classification, keyword search, screening and collection to better match user needs. The corresponding display results may include price, sales volume, inventory, credit evaluation, brand, service level, compliance operation, user demand preferences and retrieval habits Competitiveness and other factors are comprehensively determined. You have the right to decide the marketing and promotion methods of goods and / or services by yourself. Goldenfirs also provides you with rich forms of marketing and promotion tools, and will launch marketing activities from time to time according to market demand and seller's business conditions. Before you sign up for the above activities, you have fully understood that the qualification and effect of the activities may be affected by factors such as the positioning of the activities, the competitiveness of goods / stores, comprehensive ranking, and the degree of cooperation of the activities. Once you choose to sign up, it means that you promise to always meet the relevant rules and requirements of the corresponding activities. Without the consent of Kingsoft international, you promise not to quit halfway during the event to jointly ensure a good user experience and the stable and orderly development of the event. 3.3.5 [guarantee of trading order] you should abide by the principle of good faith, ensure that the goods and / or service information you publish is true and consistent with the goods and / or services you actually sell, and earnestly fulfill your trading commitments in the process of trading. You should maintain the benign competition order in the market of Jinsha international network, do not belittle or slander competitors, do not interfere with any transactions and activities conducted on Jinsha international network, do not enhance or attempt to enhance your own credit in any improper way, and do not interfere with or attempt to interfere with the normal operation of Jinsha international network in any way. 3.3.6 [paying taxes according to law] paying taxes according to law is the obligation of every citizen and enterprise. You should report and pay taxes to the competent tax authority in time and in full for the part of sales / turnover exceeding the legal exemption

3.4 consumer protection [responsible party] you understand and agree that as the responsible party of consumer protection, you should perform all obligations of consumer protection in accordance with relevant laws and regulations, consumer protection service agreement and relevant rules of Goldenfirs network, including basic consumer protection services such as truthful description of goods, 7-day return without reason, performance of special transaction agreement, payment of deposit, etc, The details shall be subject to the consumer protection service agreement and the relevant rules and regulations of Jinsha international network

3.5 transaction dispute settlement [transaction dispute handling method] if you have a dispute with other users in the transaction process of Jinsha international network, you or any of the other users have the right to choose the following ways to resolve it: (1) Independently negotiate with the opposite party in dispute; (2) Use the dispute mediation services provided by Goldenfirs network; (3) Request the consumer association or other legally established mediation organization to mediate; (4) Complain to relevant administrative departments; (5) Submit to the arbitration institution for arbitration in accordance with the arbitration agreement (if any) reached with the opposite party to the dispute; (6) Bring a lawsuit to the people's court [platform mediation service] if you use the dispute mediation service of Goldenfirs according to the rules of Goldenfirs, It means that you recognize and are willing to perform the mediation decisions made by the customer service or public reviewer of Kingsoft international network ("adjustment prescription") as an independent third party according to the facts of the dispute they know and the rules of Goldenfirs network (including adjusting the transaction status of relevant orders, determining to pay all or part of the disputed amount to one or both parties, etc.). Before the mediation decision of Kingsoft international network is made, you can choose the above (III), (IV), (V) and (VI) ways (hereinafter referred to as "other dispute settlement ways") to resolve the dispute in order to stop the dispute mediation service of Goldenfirs network. If you are not satisfied with the mediation decision, you still have the right to take other dispute resolution methods to resolve the dispute, but you should still perform the mediation decision before obtaining a final decision through other dispute resolution methods.

3.6 data use and information authorization, etc 3.6.1 [General requirements] for the data generated during your use of this service, Kingsoft international respects and protects the data rights of you and other relevant subjects according to law. On this premise, the relevant rights of the data collected and recorded by Kingsoft international in the process of using this service and other operations of Goldenfirs belong to Goldenfirs, and it is a trade secret of Goldenfirs. Without the prior written consent of Goldenfirs, you may not use the above data for purposes other than those agreed in this agreement or provide the above data to others in any form 3.6.2 [trade secrets] Jinsha international network respects and protects the seller's trade secret information such as the transaction volume of the seller's shop, the transaction volume of a category or a single product. In order to promote the seller's store or its products, Goldenfirs can publicize the total transaction volume of your store and the transaction volume of a category or a single product during your participation in the market activities officially held by Goldenfirs (including the "double 12", etc.), and the above information can also be used for publicity and promotion 3.6.3 [authorized use] within the scope permitted by law, for the purpose of promoting relevant goods and / or relevant brands, you agree to grant Goldenfirs free of charge. You can copy (such as synchronously displaying on multiple clients), modify (such as fine-tuning to adapt to the visual experience of the mobile terminal) all kinds of information (including commodity trademarks, logos, words, pictures, etc.) publicized in your store on the relevant display and promotion page of Goldenfirs network Adaptation (such as adding design elements of the overall activities of the platform), translation (such as translation to meet the browsing needs of overseas users) and the right to sublicense the use of third parties based on the above purposes and methods 3.6.4 [data use] All Rights (including copyright, trademark right, patent right, trade secret and other related rights) of all official products, technologies, software, programs, data and other information (including text, icons, pictures, photos, audio, video, charts, color combinations, layout design, etc.) launched by Jinsha international belong to Jinsha international and its affiliates. Except for the data you have the right to use commercially in accordance with relevant laws, you agree not to use any other data on Goldenfirs website for commercial purposes, including but not limited to using any data displayed by other users on Goldenfirs website by means of reproduction, dissemination or disclosure to others without the prior written approval of Goldenfirs. 3.6.5 [information disclosure] within the scope permitted by law, if consumers and obligees apply to Goldenfirs for the name, ID number, address and contact method of the business entity of your store based on the reasonable need to complain to the relevant competent authorities or sue to the court, you agree that Kingsoft international can disclose the above information to them. 3.6.6 [personal information protection] you must strictly comply with the requirements of laws related to network security and data protection. Among them, if the information you collect, use and share in the process of store operation involves the personal information of users of Jinsha international platform, you must follow the legal, legitimate and necessary principles, and must not violate the provisions of relevant laws and the agreements between you and users, including: without other authorization of users, You should use the user's order information and other necessary information related to the transaction only for the purpose of satisfying the user's purchase of goods or services and completion of after-sales service as agreed in the Privacy Policy of Goldenfirs network; It is forbidden to use the user's information without the user's explicit consent or beyond the scope of the user's authorization, or illegally provide the user's personal information to others. If the information you submit to the platform involves personal sensitive information such as the copy of the ID card of the legal representative of the enterprise or its ID card number, you guarantee that you have obtained the explicit consent of the relevant personal information subject, and the relevant purpose and behavior of use comply with your wishes and the requirements of relevant laws 3.6.7 [personal information security] you should take necessary technical measures to ensure data security. When information security risks occur or may occur, you should immediately take remedial measures, inform users in time according to regulations and report to the relevant competent departments. 3.6.8 [trade restrictions] please pay attention to and strictly abide by the laws and regulations related to import and export control, trade restrictions and economic sanctions that may affect your trading behavior, so as to avoid losses to you or buyers, and ensure to comply with all import and export related laws and regulations applicable to the relevant software, technology and services of this platform. Based on the need to maintain the trading order and trading security of Goldenfirs platform, if you violate the above commitments, Kingsoft international can take the initiative to remove goods from the shelves and close relevant trading orders when finding the above situations 3.6.9 [subject information] under this agreement, the seller service provider of Goldenfirs network may be changed according to the business adjustment of Goldenfirs network. The changed seller service provider of Goldenfirs network will jointly perform this agreement with you and provide services to you. The change of the seller service provider of Goldenfirs network will not affect your rights and interests under this agreement. The seller service provider of Goldenfirs network may also be added due to the provision of new seller services. If you use the new seller services, it is deemed that you agree that the new seller service provider of Goldenfirs network will jointly perform this agreement with you. In the event of a dispute, you can determine the subject of your performance and the other party to the dispute according to the service you use and the specific behavior object that affects your rights and interests

4、 Expenses

4.1 Jinsha international has paid a lot of costs for the services provided to you by Jinsha international network. In addition to the charging services expressly provided by Jinsha international network, the services provided to you by Jinsha international network are free at present. If Goldenfirs charges you a reasonable fee in the future, Goldenfirs will take a reasonable way and notify you through legal procedures in advance within a sufficient and reasonable period in the manner agreed in Article 8 of this agreement to ensure that you have the right to make full choices.

5、 Limitation of liability

5.1 [force majeure and third party reasons] Jinsha international performs its basic guarantee obligations in accordance with the law, but Jinsha international does not bear the corresponding liability for breach of contract due to obstacles in contract performance, defects in performance, delays in performance or changes in performance content caused by the following reasons: (1) Due to natural disasters, strikes, riots, wars, government actions, judicial administrative orders and other force majeure factors; (2) Due to public service factors such as power supply failure, communication network failure or third-party factors; (3) Under the situation that Goldenfirs has done its best to manage in good faith, due to routine or emergency equipment and system maintenance, equipment and system failure, network information and data security and other factors

5.2 [massive information] in view of the fact that Jinsha international network has the characteristics of massive information and the separation of information from physical objects in the information network environment, except for the clear provisions of the law, Jinsha international does not need to review the transaction behavior of all sellers and buyers and other matters related to the transaction in advance, but if consumers, regulatory authorities, obligees and other third parties notify Jinsha international or Jinsha international based on the commodity If the comprehensive analysis of multi-dimensional big data such as transactions or stores finds that a seller, commodity or information has commodity quality problems, intellectual property infringement, transaction fraud and other illegal / improper behaviors that may violate relevant laws and regulations and this agreement, you agree that Goldenfirs makes a reasonable judgment on the relevant content based on the relevant processes of the platform with the general cognitive standards of the public, Goldenfirs can send a notice of inquiry or request correction to the seller according to different circumstances, or directly delete relevant information, take restrictive measures against the store or stop the service. Except for the intentional or gross negligence of Goldenfirs, Goldenfirs is exempt from the above judgment.

5.3 [mediation decision] you understand and agree that in the dispute mediation service, the customer service and public reviewers of Goldenfirs network are not professionals, and can only judge the vouchers submitted by users and / or sellers based on the general knowledge of the public. Therefore, except for intentional or gross negligence, the mediation decision is exempt from responsibility.

6、 Default and handling of users

6.1 determination of breach In case of any of the following circumstances, you shall be deemed to have breached the contract: (1) Violating relevant laws and regulations when using Goldenfirs seller services; (2) Violating the agreement; In order to adapt to the development of e-commerce and meet the needs of a large number of users for efficient and high-quality services, you understand and agree that Jinsha international can agree on the procedures and standards for determining breach of contract in the relevant rules of Jinsha international network. For example, Goldenfirs can determine whether you constitute a breach of contract based on the relationship between your user data and massive user data; You are obliged to provide sufficient evidence and reasonable explanation for your data anomalies, otherwise it will be deemed as a breach of contract.

6.2 default treatment measures [information processing] if the information you published on Goldenfirs Online constitutes a breach of contract, Goldenfirs may immediately delete and block the corresponding information or remove and supervise your goods from the shelves according to the corresponding rules. [behavior restriction] if your behavior on Goldenfirs network, or the behavior that has not been implemented on Goldenfirs network but has an impact on Goldenfirs network and its users, constitutes a breach of contract, Goldenfirs may implement account deduction, restrict participation in marketing activities, suspend providing you with some or all services, and deduct liquidated damages according to the corresponding rules. If your behavior constitutes a fundamental breach of contract, Goldenfirs may seal up your account and terminate the service provided to you. [payment account processing] when you breach the contract and there are specific circumstances such as fraud, selling fake products, stealing others' accounts, or you have risks endangering others' transaction security or account security, Goldenfirs will instruct the payment company to take compulsory measures such as canceling collection and stopping payment of funds according to the risk degree of your behavior. [publicity of handling results] Jinsha international can publicize the information on the handling measures for your above-mentioned breach of contract and other illegal information confirmed by the effective legal documents of the national administrative or judicial organs on Jinsha international website

6.3 liability for compensation If your behavior causes losses to Jinsha international and / or its affiliated companies and payment companies, you shall perform the liability of compensation according to this agreement. The losses (if any) that Jinsha international and / or its affiliated companies and payment companies must be compensated include: (1) Reasonable attorney's fees and legal fees paid, and necessary expenses incurred to eliminate the impact; (2) Fines, liquidated damages or compensation for external expenditures due to administrative penalties, judicial judgments, mediation within the scope of legal standards; (3) The specific amount of goodwill loss and reasonably expected benefit loss (such as the loss of consumers, the reduction of expenditure, the reduction of consumption frequency and the reduction of store operator income) can be calculated based on the relevant estimation standards obtained by the independent and reasonable analysis of a third party and the reasonable analysis of Kingsoft International based on big data and other reasonable methods of calculating income and loss; (4) Other losses incurred as a result. If your behavior causes Goldenfirs and / or its affiliated companies and payment companies to suffer claims from a third party, Goldenfirs and / or its affiliated companies and payment companies can recover all losses from you after assuming obligations such as monetary payment to the third party. If the third party suffers losses due to your behavior, or you are lazy to perform the mediation decision, and Goldenfirs and / or its affiliated companies for the purpose of social public interest protection or consumer rights and interests protection, you can instruct the payment company to deduct the corresponding amount from your payment account for payment. If your payment balance or deposit is insufficient to pay the corresponding amount, you agree to entrust Goldenfirs to use its own funds to pay the above amount for you, and you should return this part of the expenses and compensate all losses caused by Goldenfirs. You agree that Goldenfirs instructs the payment company to deduct the corresponding amount from your payment account to pay the above compensation. If the payment in your account is insufficient to pay the above compensation, Jinsha international and / or its affiliates can directly offset your rights and interests under other agreements of Jinsha international and / or its affiliates, and can continue to recover.

6.4 special agreement [commercial bribery] if you provide benefits in kind, cash, cash equivalents, labor services, tourism and other benefits whose value obviously exceeds the scope of normal business negotiations to employees or consultants of Goldenfirs and / or its affiliated companies, it can be regarded as your commercial bribery. In case of the above situation, Jinsha international can immediately terminate all cooperation with you and collect liquidated damages and / or compensation from you. Such amount is based on the economic losses and goodwill losses suffered by Jinsha international due to your bribery. [related party handling] if you cause Goldenfirs to terminate this agreement due to serious breach of contract, for the purpose of maintaining platform order and protecting consumer rights and interests, Goldenfirs and / or its affiliated companies may take measures to suspend or even terminate the agreement for cooperation with you under other agreements, and notify you in the manner agreed in Article 8 of this agreement. If other agreements signed between Jinsha international and you and the agreements signed between Jinsha international and / or its affiliates and payment companies and you clearly stipulate the situation of affiliated processing of your cooperation under this agreement, Jinsha international may suspend or even terminate the agreement upon receipt of instructions for the purpose of maintaining platform order and protecting consumer rights, and notify you in the manner agreed in Article 8 of this agreement.

7、 Change of agreement

Goldenfirs may modify this agreement from time to time in accordance with the changes of national laws and regulations and the needs of maintaining the transaction order and protecting the rights and interests of consumers. The changed agreement (hereinafter referred to as "changes") will be notified to you through legal procedures and in the manner agreed in Article 8 of this agreement.
